STATUTES OF THE ATOMIC FORUM FOUNDATION
adopted on 5 July 2011

Chapter 1 General provisions

§ 1

  1. The Atomic Forum Foundation, hereinafter referred to as the Foundation, operates pursuant to the Act of 6 April 1984 on Foundations (Journal of Laws of 1991, No. 46, item 203, as amended) and the provisions of these Articles of Association.
  2. The Foundation was established by Bogumiła Mysłek-Laurikainen and Łukasz Koszuk, hereinafter referred to as the Founders, by means of a notarial deed drawn up by a notary public, Katarzyna Korga, in a notary’s office at ul. Wspólna 75 in Warsaw on 9 May 2008.

§ 2

  1. The seat of the Foundation is Warsaw.
  2. The duration of the Foundation is indefinite.
  3. The area of the Foundation’s activity is the whole territory of the Republic of Poland, however in order to properly fulfil its aims the Foundation may also conduct its activity outside the borders of the Republic of Poland.
  4. The Foundation may establish research institutions, centres, offices, branches, affiliates, and facilities both domestic and abroad.

§ 3

  1. The Foundation has legal personality.
  2. The supervision of the Foundation is exercised by the Minister of Economy.

§ 4

The Foundation uses stamps with the identification data of the Foundation.

§ 5

The Foundation may establish certificates, badges, medals of honour and grant them, together with other awards and distinctions, to natural and legal persons of merit to the Foundation, contributing to the achievement of the objectives of the Foundation.

Chapter 2 Objectives and Principles of the Foundation

§ 6

  1. The general objective of the Foundation includes public benefit tasks in the field of science and education in physics and related sciences and the peaceful use of nuclear energy.
  2. The specific objectives of the Foundation include:
    • dissemination of knowledge and skills in physics and related sciences,
    • informational and educational activities in the field of nuclear energy and nuclear technology;
    • information and education activities in the field of environmental protection, climate change
      and environmental impact of nuclear energy,
    • organisation and support of educational, popularisation, scientific and scientific-technical activities, including support and promotion of modern methods of education and popularisation of knowledge in the field of physics and related sciences, advanced nuclear technologies and in the field of peaceful uses of nuclear energy and nuclear power development;
    • supporting and developing the interests of school and university students in physics and related sciences,
    • support of public and non-public education in the field of education and didactics of physics and related sciences,
    • cooperation with national and foreign educational, popularisation and research centres, as well as research and technology commercialisation centres;
    • bringing together around the idea of the Foundation representatives of science, technology, education, local government, as well as companies and enterprises operating at home and abroad.

§ 7

The Foundation pursues its objectives through:

  1. maintaining the website and forum www.energiajadrowa.pl;
  2. organising and participating in events to promote physics and related sciences and the nuclear energy industry;
  3. funding the promotion of research results and technologies;
  4. carrying out publishing activities in pursuit of the statutory objectives;
  5. cooperation with local authorities and administration in the field of human resources development for the realization of foundation’s goals;
  6. membership in organisations associating Polish and foreign foundations with statutory objectives convergent with or identical to those of the Foundation;
  7. development, piloting, implementation, dissemination, monitoring and evaluation of innovative programmes, model solutions, educational materials and modern strategies in the field of education in physics and related sciences, and in the field of nuclear power and advanced nuclear technologies;
  8. conducting research, training, workshop and training activities to improve the effectiveness and quality of educational activities;
  9. building cooperation between various organisations and individuals at national and inter-national forums for the peaceful use of nuclear energy (conferences, seminars, networking events);
  10. promoting access to educational and development activities for children, young people and adults (promotional activities, events, festivals);
  11. education of women and men based on the principles of equality.

§ 8

In order to achieve its objectives, the Foundation may support the activities of other legal entities and natural persons whose activities are consistent with the objectives of the Foundation.

§ 9

  1. The Foundation may be the initiator of the creation, co-founder and funder of new organisations whose activities are consistent with the objectives of the Foundation.
  2. The establishment of new organisations by the Foundation is decided by the Board of the Foundation by unanimous resolution with the approval of the Founders.

Chapter 3 Foundation’s Assets and Income

§ 10

Assets earmarked for the achievement of the foundation’s objectives:

  • a monetary amount of PLN 1500.00 (one thousand five hundred zlotys), which will constitute the founding fund of the Foundation,
  • other property acquired by the Foundation in the course of its activities.

§ 11

  1. The Foundation’s income may come from:
    • donations, legacies, bequests,
    • subsidies and grants from legal persons,
    • income from collections and public events,
    • bank interest,
    • property rights acquired in the course of its activities.
  2. The Foundation may dispose of funds placed in safekeeping.
  3. All income received by the Foundation is intended exclusively for its statutory activities.
  4. The Foundation’s assets are used to realise all statutory purposes and the Board of the Foundation decides on their use.
  5. Income from subsidies, donations, bequests and legacies may be used for the realisation of all statutory purposes of the Foundation, unless the donor decides otherwise.
  6. Income from collections and public events may only be used in accordance with the purpose for which they were organised.
  7. If the Foundation is called to inherit, the Foundation’s Board makes a declaration of acceptance of the inheritance with the benefit of inventory only if at the moment of making the declaration it is obvious that the mass of the inheritance significantly exceeds the inheritance debts.
  8. The Foundation is liable for its obligations with all its assets.

Chapter 4 Business Activities

§ 12

In order to increase the funds for the fulfilment of its statutory objectives, the Foundation may carry out business activities.

§ 13

  1. The Foundation may conduct business activities within the scope permitted by law, in accordance with the Polish Classification of Activities (PKD):
    • publishing of books (PKD 58.11.Z),
    • publishing of magazines and other periodicals (PKD 58.14.Z),
    • other publishing activities (PKD 58.19.Z),
    • other software publishing activities (PKD 58.29.Z),
    • activities related to the production of motion pictures, video recordings and television programs (PKD 59.11.Z),
    • activities related to distribution of films, video recordings and television programmes (PKD 59.13.Z),
    • data processing; website management (hosting) and related activities (PKD 63.11.Z),
    • activity of internet portals (PKD 63.12.Z),
    • activities of information agencies (PKD 63.91.Z),
    • other service activities in the field of information, not classified elsewhere (PKD 63.99.Z),
    • rental and management of own or leased real estate (PKD 68.20.Z),
    • scientific research and development work in the field of other natural and technical sciences (PKD 72.19.Z),
    • research and development in the area of social sciences and humanities (PKD 72.20.Z),
    • activities of advertising agencies (PKD 73.11.Z),
    • market research and public opinion polling (PKD 73.20.Z),
    • activities related to translations (PKD 74.30.Z),
    • other professional, scientific and technical activities not elsewhere classified (PKD 74.90.Z),
    • activities of travel organizers (PKD 79.12.Z),
    • activities related to the organisation of trade fairs, exhibitions and congresses (PKD 82.30.Z),
    • other non-school forms of education not elsewhere classified (PKD 85.59.B),
    • activities supporting education (PKD 85.60.Z).
  2. Economic activity will be carried out to the extent necessary to achieve the statutory objectives.
  3. The income from business activities shall be used exclusively for statutory activities.
  4. Property or real estate acquired by the foundation and not reserved for other use by donors may be used for business activities.
  5. The business activities may not include insurance activities, banking activities, brokerage services, legal services and consultancy.

§ 14

  1. The business activities of the Foundation may be carried out directly by the Foundation or through separate social enterprises subordinate to the Board of the Foundation.
  2. The management of economic activity may be entrusted by the Board of the Foundation to one of its members or to another person.
  3. Decisions on the establishment of a social enterprise and on the appointment and dismissal of its director are made by the Board of the Foundation. The director of the social enterprise is an attorney-in-fact of the Board authorised to undertake actions related to the management of the enterprise. The scope of activities shall be defined by the power of attorney granted.
  4. The scope of the social enterprise’s activities and the Director’s powers and duties are defined in the enterprise’s organisational regulations adopted by the Foundation’s Board.
  5. The Board of the Foundation determines the size of employment and the amount of funds allocated to the remuneration of employees of individual social enterprises.

Chapter 5 Authorities of the Foundation

§ 15

The authority of the Foundation is exercised by the Board of the Foundation, hereinafter referred to as the Board.

The Board

§ 16

  1. The Board of the Foundation consists of 1 to 5 persons.
  2. The Board elects from among its members the President of the Foundation.
  3. If the number of members of the Board is greater than 1, the Board of the Foundation may also elect from its ranks 1 to 2 Vice-Presidents of the Foundation.
  4. The Foundation Board may dismiss and appoint new members of the Board by means of resolutions with a simple majority of votes. In case of equal distribution of votes, the vote of the President of the Board is decisive. The Foundation’s Board may specify in a resolution for what period of time a new Board member is appointed.
  5. Membership in the Board ceases as a result of:
    • submission of a written resignation to the other members of the Board,
    • death of a Board member.
  6. One may serve more than one term as a member of the Executive Board.

§ 17

  1. The Board manages the Foundation’s activities and represents it externally.
  2. The powers of the Board include:
    • managing the day-to-day operations of the Foundation,
    • implementation of the statutory objectives,
    • drawing up work plans and a budget,
    • management of the Foundation’s assets,
    • represent the Foundation externally,
    • employing staff and setting their remuneration,
    • to decide to amend the Foundation’s Statutes, to liquidate the Foundation or to merge it with another Foundation,
    • members of the Board may be in an employment relationship,
    • The Board may adopt resolutions to change the statutory objectives of the Foundation.

§ 18

  1. Meetings of the Management Board shall be held as the need arises, at least once a quarter.
  2. Meetings of the Executive Board shall be convened by the President, sending information about the date by e-mail or, if email is not posible, by registered letter at least 3 days before the planned meeting.
  3. All members of the Executive Board must be informed of the Executive Board meeting.
  4. The Executive Board shall take decisions by means of resolutions by a simple majority, unless further provisions of the Articles of Association stipulate otherwise. In the event of an equal distribution of votes, the vote of the Chairman of the Executive Board shall be decisive.

§ 19

Founders may be members of the Foundation’s Board.

Manner of representation

§ 20

  1. Declarations of will on behalf of the Foundation in all matters except property matters may be made by each member of the Board independently.
  2. In matters of property, the signature of the President or Vice-President or two members of the Board acting jointly is required.

Chapter 6 Final Provisions

§ 21

  1. The Foundation may merge with another foundation in order to effectively pursue its objectives.
  2. A merger with another foundation may not take place if, as a result of such a merger, the objective of the Foundation could be significantly changed.
  3. In matters of merging with another foundation, a decision is made by the Foundation’s Board by an absolute majority of votes, with at least half of the members entitled to vote present.

§ 22

  1. The Foundation shall be liquidated when the objectives for which it was established have been achieved or when its financial resources and assets have been exhausted.
  2. The Board of the Foundation shall notify the Minister of Economy of the liquidation of the Foundation.
  3. The decision to liquidate shall be taken by the Board by an absolute majority of votes, with at least half of the members entitled to vote present.
  4. The financial resources and assets remaining after the liquidation of the Foundation may be allocated, by a resolution of the Foundation’s Board, to organisations operating in the Republic of Poland with similar objectives.
